Terms and Conditions for Business-to-Business Services

Application of Terms and Conditions

The contractor is engaged by the business to carry out the services in accordance with any quotation from the contractor which is accepted by the business.

 

These terms and conditions are agreed to upon signature and acceptance of the credit account application completed by the business for the services provided by the contractor.

 

Interpretation

In these terms and conditions, unless the context otherwise requires, the following expressions have the following meanings:

 

Business Day                          Means any day other than a Saturday, Sunday or bank holiday.

 

Contractor                               Means MRF Supply Chain Ltd, a company registered in England under 13636877 of 13 Rossall Road, Thornton-Cleveleys, Lancashire, United Kingdom, FY5 1AP and includes all employees and agents of MRF Supply Chain Ltd.

 

Business                                   Means the organisation that applied for a credit account to accept services provided by the contractor.

 

Month                                      Means a calendar month.

 

Services                                    The agreed services to be performed by the contractor as set out in the formal quotation, such services to be provided using reasonable skill and care.

 

Deliverables                             Professional Environmental Services including haulage and disposal.

 

Data Protection Legislation   Means the Data Protection Act 2018 which incorporates the UK GDPR.

 

Services

The contractor agrees:

 

To undertake and provide the Services in accordance with the formal quotation supplied and agreed with the business.

 

To manage and carry out the Services in an expert and diligent manner and to provide his/her services to the best of his/her technical and creative skill and to be solely responsible for how the services are provided.

 

To the best of his/her ability, promptly and faithfully to meet the Deliverables and deadlines agreed with the business.

 

Invoices and Payments

Unless specifically agreed otherwise, invoices will be submitted weekly by the contractor and payment made within agreed terms as stated on the formal quotation. The fee is only payable in respect of Services actually provided.

 

Interest on overdue invoices shall accrue from when payment has not been received, after the agreed terms, of the date on the invoice.

 

Interest on overdue invoices shall accrue from the date when payment becomes due calculated on a daily basis, invoiced weekly or until the date of payment, at the rate of 8% plus the Bank of England base rate.

 

The business shall pay all accounts in full and not exercise any rights of set-off or counterclaim against invoices submitted by the contractor.

 

These terms and conditions will cease on fulfilment of the Services.

 

Insurance

The contractor will take out and maintain adequate professional indemnity insurance to protect themselves against any liabilities arising out of the agreed services.

 

The contractor will take out and maintain adequate public liability insurance coverage to protect themselves against any liabilities arising out of the agreed services.

 

The contractor will take out and maintain Invoice Bad Debt Protection insurance coverage to protect themselves against any late or non-payment.

 

Data Protection and Data Processing

Both parties will comply with all applicable requirements of the Data Protection Legislation. This is in addition to, and does not relieve, remove or replace both parties’ obligations under the Data Protection Legislation.

 

Both parties will ensure it has all necessary appropriate consents and notices in place to enable lawful transfer of the Personal Data (as defined in the Data Protection Legislation) for the duration of the Services being provided.

 

Both parties will ensure that all personnel who have access to/and process Personal Data are obliged to keep the Personal Data confidential.

 

Both parties will notify the other party if they become aware of a Personal Data breach without undue delay.

 

Both parties will maintain complete and accurate records and information to demonstrate compliance with Data Protection Legislation.

 

Notices/Communications

Any notices or other communications sent to the business shall be in writing, addressed to that party at its registered office or such other address as that party may have specified to the other party in accordance with this section.

 

Communication shall be delivered personally, or sent by pre-paid first class post or other next working day delivery service, commercial courier, or e-mail.

 

Force Majeure

Neither party shall be liable for any failure nor is delay in performing their obligations where such failure or delay results from any cause that beyond the reasonable control of that party. Such causes include, but are not limited to; power failure, Internet Service Provider failure, industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action or any other event that is beyond the control of the party in question.

 

Severance

The parties agree that, in the event that one or more of the provisions of these Terms and Conditions or the contract are found to be unlawful, invalid or otherwise unenforceable, that those provisions shall be deemed severed from the remainder of these Terms and Conditions (and, by extension, the contract). The remainder of these and the Contract shall be valid and enforceable.

 

Third Party Rights

A person who is not a party to the contract shall have no rights under the contract pursuant to the contracts (Right of Third Parties Act 1999).

 

Law and Jurisdiction

These Terms and Conditions shall be governed by, and construed in accordance with the laws of England and Wales.

 

Any dispute, controversy, proceedings or claim between the parties relating to these Terms and Conditions shall fall within the jurisdiction of the Courts of England and Wales.
